What This Means (2025 FDD)
According to the 2025 Corner Bakery Cafe Franchise Disclosure Document, the Renewal Term commences upon the expiration of the initial franchise agreement. To be eligible for renewal, the franchisee must provide written notice of their intent to renew not less than six months nor more than 12 months before the end of the initial term. This notice date is defined as the "Renewal Notice Date," and timely submission is critical. Failure to provide this notice on time constitutes a waiver of the franchisee's option to renew.
In addition to providing timely notice, the franchisee must meet several other conditions to qualify for renewal. They must not be in default of the franchise agreement or any other agreements with Corner Bakery Cafe or its affiliates. They also cannot be in default of any real estate lease, equipment lease, or financing instrument related to the franchised cafe, or any agreement with vendors or suppliers, unless the defaults are immaterial and do not affect the cafe's operation. Furthermore, for the 12 months prior to the Renewal Notice Date, the franchisee must not have been in default of the franchise agreement or any other agreements with Corner Bakery Cafe or its affiliates.
The franchisee must also demonstrate that they have the right to remain in possession of the franchised location for the Renewal Term. All owners and guarantors must execute a general release and covenant not to sue Corner Bakery Cafe and its affiliates. The franchisee must also comply with Corner Bakery Cafe's then-current qualification and training requirements. Within 60 days of receiving the Renewal Notice, Corner Bakery Cafe will advise the franchisee whether they are entitled to renew. If approved, Corner Bakery Cafe will send a Renewal Franchise Agreement for the franchisee to sign at least 30 days before the initial term expires.
It is important to note that the Renewal Franchise Agreement may differ from the original agreement, potentially including changes to royalty fees and advertising obligations. The franchisee's failure to sign and return the Renewal Franchise Agreement before the initial term expires will be considered an election not to renew, resulting in the expiration of the agreement. Meeting all these conditions ensures that the Renewal Term for a Corner Bakery Cafe franchise commences smoothly upon the expiration of the initial agreement.
