What This Means (2025 FDD)

Yes, according to the 2025 Cordova Franchise Disclosure Document, the Cordova Franchise Agreement includes a General Release. Exhibit 5 of the Franchise Agreement is a form of General Release.

Specifically, the FDD states that when a franchisee transfers their Cordova business, the franchisee, each owner, and each spouse must execute the General Release attached as Exhibit 5. This release covers Cordova, its affiliates, and their past and present officers, directors, shareholders, members, partners, agents, representatives, independent contractors, servants, and employees. The release pertains to any and all claims against Cordova for matters arising on or before the effective date of the transfer.

However, the Maryland Franchise Agreement Amendment included in the FDD clarifies that the general release required as a condition of renewal, sale, and/or assignment/transfer does not apply to any liability under the Maryland Franchise Registration and Disclosure Law. Similarly, a New York amendment ensures that no statement signed by a franchisee waives claims under applicable state franchise law, including fraud in the inducement, or disclaims reliance on statements made by Cordova.
