What This Means (2025 FDD)

According to Cordova's 2025 Franchise Disclosure Document, the Franchise Agreement requires franchisees, their owners, and potentially their spouses to adhere to confidentiality obligations. If the franchisee is a corporation, each owner and their spouse must sign a Franchise Owner and Spouse Agreement and Guaranty, which includes personally binding confidentiality covenants.

Cordova also requires managers to sign confidentiality agreements. All employees, agents, and representatives who have access to confidential information must also sign a confidentiality agreement.

Exhibit 2 of the Franchise Agreement is a sample confidentiality agreement that Cordova may approve for use by the franchisee with their employees or contractors. However, Cordova requires the franchisee to have the agreement reviewed and approved by an independent local attorney before using it.
