What This Means (2025 FDD)
According to Cordova's 2025 Franchise Disclosure Document, Cordova, as the franchisor, faces no restrictions on its ability to assign the franchise contract. This means Cordova has the right to transfer its obligations and rights under the Franchise Agreement to another party without needing the franchisee's consent. This is a standard practice in franchising, allowing the franchisor flexibility in business operations, such as mergers or acquisitions.
For a prospective Cordova franchisee, this clause signifies that the entity they initially contracted with could change during the term of the agreement. While the terms of the agreement should remain the same, the new franchisor might have a different management style or business priorities.
Although Cordova has the right to assign the contract, the franchisee also has the ability to transfer the franchise. However, the franchisee's ability to transfer the franchise is not as simple as the franchisor's. The franchisee must get prior written consent from Cordova, which Cordova may grant or withhold at their discretion.
In order to get approval from Cordova for a transfer, the franchisee must provide 30 days written notice, not be in default of their obligations, the new transferee must agree to be bound by the current franchise agreement, the owners of the transferee must personally guarantee the franchise agreement, the franchisee must sign a general release in favor of Cordova, the transfer must provide assignment of the approved location, and the transferee must complete the training programs.
