Answer from 2025 FDD Document

You acknowledge and agree that the operation and maintenance of your COOL BINZ Business according to System Standards is essential to preserve the goodwill for the Marks and all COOL BINZ franchisees. Therefore, at all times during the term of this Agreement, you agree that the Managing Owner or, if applicable, the Designated General Manager, devote your full-time best efforts to operate and maintain your Business according to each and every System Standard, even if you believe that a System Standard is not in the System's or your franchise's best interests. System Standards may be periodically modified and supplemented during the term of this Agreement and you must comply with any such changes immediately upon notice to you. Furthermore, you must use your best efforts to assure that your employees and representatives conduct themselves, during business hours and/or whenever they are in a vehicle with a COOL BINZ logo, or a company uniform with a COOL BINZ patch, in a manner which is consistent with the professional and ethical image of the System.

What This Means (2025 FDD)

According to Cool Binz's 2025 Franchise Disclosure Document, franchisees must adhere to System Standards, which are essential for maintaining the brand's goodwill. These standards can be modified and supplemented during the franchise term, and franchisees are obligated to comply with these changes immediately upon receiving notice. This requirement applies even if a franchisee believes a particular System Standard is not in their best interest or the best interest of the franchise system.

This immediate compliance clause has significant implications for a prospective Cool Binz franchisee. It means they must be prepared to adapt quickly to changes in operational procedures, service offerings, or technology. Failure to comply promptly could be considered a breach of the franchise agreement. The franchisee bears the responsibility for ensuring their business operations align with the updated System Standards as soon as they are notified.

Furthermore, Cool Binz retains the right to modify the System Standards periodically to reflect changing market conditions and consumer demands. These modifications can include adopting new trademarks, uniforms, technologies, products, or sales strategies. Franchisees are responsible for implementing these changes at their own expense, which could involve additional investments in equipment, software, or training. This requirement ensures uniformity across all Cool Binz franchise locations and aims to enhance the overall efficiency and public image of the system.

While immediate compliance is required, Cool Binz is expected to provide reasonable notice of these changes. However, the franchise agreement stipulates that franchisees must comply regardless of their personal beliefs about the changes' benefits. This underscores the importance of a franchisee's willingness to follow the franchisor's directives and adapt to evolving business practices within the Cool Binz system.
