What This Means (2025 FDD)
According to the 2025 Cool Binz Franchise Disclosure Document, a Rider to the Franchise Agreement is executed concurrently with the Franchise Agreement itself. This Rider is added when the offer or sale of the Cool Binz franchise is made in a specific state, or when the franchisee is a resident of that state.
Specifically, the FDD excerpts provide examples of addenda for franchisees in Minnesota, North Dakota, and New York. These addenda include modifications to the standard Franchise Agreement to ensure compliance with state-specific franchise laws. For instance, the Minnesota addendum addresses requirements under the Minnesota Franchises Law, while the New York addendum ensures that the franchisee retains all rights under Article 33 of the General Business Law of New York.
For a prospective Cool Binz franchisee, this means that the terms of their Franchise Agreement may be modified by a state-specific addendum depending on where they reside or where their franchise will be located. It is important to carefully review this Rider, as in the event of a conflict between the Rider and the standard Franchise Agreement, the terms of the Rider will take precedence.
