What This Means (2025 FDD)

According to the 2025 Cool Binz Franchise Disclosure Document, Section 15.F. and 15.H. of the Franchise Agreement outline dispute resolution procedures. Item 23 includes language that amends these sections. Specifically, Item 23 states that the governing choice of law should not be considered a waiver of any right conferred upon the franchisee by the provisions of Article 33 of the General Business Law of the State of New York.

This means that while the Franchise Agreement may specify a particular state's laws to govern disputes, the franchisee's rights under New York law are protected if applicable. This amendment ensures that franchisees are not unknowingly waiving their rights under New York's General Business Law, which provides certain protections to franchisees operating in New York.

For a prospective Cool Binz franchisee, this is a beneficial clarification, especially if they are located in New York or anticipate that New York law might apply to their franchise agreement. It is important for franchisees to understand which laws govern their agreement and to be aware of any rights they may have under those laws. Franchisees should consult with an attorney to fully understand their rights and obligations under the Franchise Agreement and applicable state laws.
