What rights are being continued for the FRANCHISE OWNER(S) regarding the Cool Binz business?

You have applied for a franchise to own and operate a COOL BINZ Business. Subject to all of the terms and conditions of this Agreement, we hereby award you a franchise (the "Franchise") to operate a COOL BINZ Business utilizing the System and the Marks in the Territory that you and we have agreed to as described on the Summary Page and in Section 1.D below. There are no Territory protections related to providing services to customers located within your Territory. Other COOL BINZ franchisees, or outlets we own, may accept jobs and service customers in your Territory without restriction or limitation. No other COOL BINZ franchisee or Company Store may advertise in print, media, door-to-door, mass electronic communication, or direct web-based advertising within your Territory. Should you not be in full compliance with this Agreement, we reserve the right to allow other compliant COOL BINZ franchisee or Affiliate to perform work in your Territory. Additionally, you may face competition from other franchisees, from outlets that we own, or from other channels of distribution or competitive brands that we control.
The term of the franchise will be ten (10) years (the "Initial Term") commencing on the date of this Agreement.

What This Means (2025 FDD)
According to Cool Binz's 2025 Franchise Disclosure Document, franchisees are awarded a franchise to operate a Cool Binz business utilizing the system and marks in a specific territory. The franchise agreement lasts for an initial term of ten years. Franchisees are permitted to renew the franchise agreement under certain conditions, including compliance with the existing agreement.
However, there are limitations to these rights. Cool Binz does not provide territory protections related to providing services to customers within the franchisee's territory. Other Cool Binz franchisees or company-owned outlets can service customers in the franchisee's territory without restriction. Additionally, other franchisees or company stores may advertise within the franchisee's territory through various means, except for print, media, door-to-door, mass electronic communication, or direct web-based advertising. Cool Binz also retains the right to allow other compliant franchisees to perform work in a franchisee's territory if the franchisee is not in full compliance with the agreement.
Furthermore, franchisees may face competition from other franchisees, company-owned outlets, or other channels of distribution or competitive brands controlled by Cool Binz. Franchisees are also restricted from engaging in any business that offers similar services to Cool Binz during the term of the franchise agreement and from using Cool Binz's confidential information or system for any business other than the franchised Cool Binz business. These restrictions continue to apply even after the termination of the franchise agreement.
