Does Cool Binz have the right to change the software requirements at its discretion?

We may develop "COOL BINZ Software", which will consist of software program(s) which you must use to maintain customer records, bid on jobs, create estimates and operate the COOL BINZ business system. Until we do, you are required to use our designated software for business management, which will be detailed in the Operations Manual, System Standards or otherwise in writing, unless we approve an alternate software supplier. You are also required to use our then-current designated accounting software, which is currently QuickBooks Online, which is subject to change. In addition, you are required to follow our specified chart of accounts. We have the right to change these requirements at our discretion.

What This Means (2025 FDD)

According to Cool Binz's 2025 Franchise Disclosure Document, Cool Binz retains the right to modify software requirements at its discretion. Specifically, Cool Binz may develop its own software, called "COOL BINZ Software," for franchisees to use for customer records, job bidding, and estimates. Until that software is developed, franchisees must use Cool Binz's designated software, detailed in the Operations Manual or System Standards, unless an alternative supplier is approved. Cool Binz also requires franchisees to use its designated accounting software, currently QuickBooks Online, but this is subject to change.

Cool Binz can also specify the brands, types, makes, and models of communication, computer systems, and hardware that franchisees must use. This includes a compatible back-office computer system, a point-of-sale (POS) system (if implemented), printers, backup systems, internet access, and security systems. The franchisee is responsible for all fees associated with the Required Software, Computer System, and POS System. Cool Binz is not obligated to provide ongoing maintenance or upgrades to the franchisee's Computer System or Required Software.

Cool Binz can also require franchisees to update or upgrade their computer systems at any time during the franchise agreement, with no limit on frequency or cost. Franchisees may also be required to use certain internet and cloud-based services as technology evolves, at their own expense. Furthermore, Cool Binz can access a franchisee's computer system to monitor or retrieve data, and all client and customer data is Cool Binz's property. These stipulations give Cool Binz considerable control over the technology used in the franchise and place the financial burden of upgrades and changes on the franchisee.
