What This Means (2025 FDD)
According to Cool Binz's 2025 Franchise Disclosure Document, the franchise agreement states that the restrictions on transfer are considered reasonable. The legal entity, such as a partnership, LLC, or corporation, acknowledges and agrees that these restrictions are necessary to protect the Cool Binz system, trademarks, confidential information, reputation, and image. These protections benefit both Cool Binz and all other franchisees within the system.
This means that Cool Binz believes that limiting who can become a franchisee and how ownership can change is important for maintaining the quality and consistency of the brand. Prospective franchisees should understand that they cannot freely transfer their franchise to just anyone; Cool Binz has the right to approve any transfer to ensure the new owner meets their standards.
Furthermore, the franchise agreement specifies that the legal entity operating the Cool Binz business cannot undertake any other business operations outside of the Cool Binz business. This restriction ensures that the franchisee's focus remains solely on the Cool Binz business, preventing any potential conflicts of interest or dilution of effort. This provision reinforces Cool Binz's commitment to protecting its brand and ensuring that franchisees dedicate their full attention to operating their Cool Binz business according to the established system.
