What remodeling, repairs, upgrades, renovations, or repurchases might Cool Binz require for renewal to comply with System Standards?

If applicable, Our Notice will state the actions you must take to correct operating deficiencies and a reasonable time period in which these deficiencies are to be corrected.

If we elect not to award you a renewal franchise agreement, Our Notice will describe the reasons for our decision. Your right to a renewal franchise agreement is subject to your continued compliance with all of the terms and conditions of this Agreement through the date of its expiration, in addition to your compliance with the obligations described in Our Notice.

Notwithstanding any provision to the contrary, at our request, you will must upgrade and remodel the COOL BINZ Business at your sole expense to conform to the then-current Operations Manual (the completion of such upgrades shall be a condition of you receiving such Renewal Term). Further, you must submit proof to us that you have the right to operate the COOL BINZ Business at the Office Site for the Renewal Term.

You will offer and provide all of the Services that we periodically require for COOL BINZ franchisees, and in the manner we prescribe.

System Standards, to be specified and periodically amended in the Operations Manual or otherwise in writing, may include, without limitation, standards and specification regarding:

    1. use and display of the Marks;
    1. Services and products which we authorize you to sell to the public;
    1. the use of supplies and equipment;
    1. a dress code, during business hours, for you, your employees and your representatives;
    1. suppliers and vendors you may use for advertising, inventory, equipment, the purchase of uniforms for you, your employees and your representatives, and other services or products you may use in the operation of the COOL BINZ Business;
    1. vehicle type, model, color, supplier, trademark representation, and appearance (no rust or body damage). These specifications are included in our Operations Manual. All vehicles purchased or leased for the COOL BINZ Business are to be, and maintained, in a "good" condition as defined by KELLY BLUE BOOK ("good" condition means that the vehicle is free of any major defects). The paint, body and interior must have only minor (if any) blemishes, and there may not be any major mechanical problems. In states where rust is a problem, this should be very minimal. All vehicles used in connection with the business are to be decaled as required by us and the decals are to be free of defects. You will be required to submit photos of all vehicles used in connection with the COOL BINZ Business in the manner and format we prescribe;
    1. business forms and stationary;
    1. designated and approved suppliers for business assets and supplies using our Marks;
    1. types and amounts of insurance coverage;

What This Means (2025 FDD)

According to Cool Binz's 2025 Franchise Disclosure Document, to be awarded a renewal franchise agreement, Cool Binz may require franchisees to correct any provisions of the agreement with which they are not in compliance. This may include attending and successfully completing additional training. Cool Binz can also elect not to award a renewal franchise agreement if they determine that the franchisee has not substantially complied with the agreement during its term.

To obtain a Renewal Term, Cool Binz requires franchisees to upgrade and remodel the Cool Binz Business at their sole expense to conform to the then-current Operations Manual. Franchisees must also submit proof that they have the right to operate the Cool Binz Business at the Office Site for the Renewal Term.

Cool Binz also maintains System Standards that franchisees must adhere to. These standards may be periodically modified and supplemented during the term of the agreement, and franchisees must comply with any such changes immediately upon notice. These standards can include specifications regarding the use and display of marks, services and products authorized for sale, the use of supplies and equipment, dress code, suppliers and vendors, vehicle type and appearance, business forms, designated suppliers, insurance coverage, and compliance with applicable laws.
