What This Means (2025 FDD)

According to Cool Binz's 2025 Franchise Disclosure Document, upon termination of the franchise agreement, a franchisee is required to notify the telephone company and all telephone directory publishers and Internet directory listings of the termination or expiration of their right to use any listing, telephone, telecopy, or other numbers and any telephone directory listings associated with any Mark. The franchisee must also authorize the transfer of these numbers and directory listings to Cool Binz. They must also instruct the telephone company to forward all calls made to their telephone number to numbers Cool Binz specifies.

If the Cool Binz franchisee fails to fulfill this obligation, Cool Binz has the right to take whatever action is necessary on the franchisee's behalf to ensure these notifications and transfers occur. This is done consistent with the telephone and other listing agreement attached to the Franchise Agreement as Exhibit C.

This provision ensures that upon termination, Cool Binz can maintain control over its brand identity and customer communications. By taking action on behalf of the franchisee, Cool Binz protects its interests and ensures a smooth transition of telephone and directory listings. This is a fairly standard practice in franchising, as franchisors need to maintain brand consistency and customer service even after a franchise agreement ends.
