What This Means (2025 FDD)
According to the 2025 Cool Binz Franchise Disclosure Document, a franchisee's right to use the Cool Binz Marks is nonexclusive. Cool Binz retains the right to award other licenses and franchises for the Marks, use the Marks in connection with marketing and selling any products and services, and develop other systems using the Marks or similar proprietary marks. This means that Cool Binz can license the Marks to other franchisees or even use them themselves in ways that may compete with an individual franchisee's business.
This non-exclusive right has several implications for prospective Cool Binz franchisees. Cool Binz can expand its network by granting additional franchises or licenses, potentially increasing competition within the market. Cool Binz also retains the flexibility to use the Marks for various products, services, and systems, which may or may not directly benefit the franchisee. The franchisee's investment in building goodwill around the Marks will primarily benefit Cool Binz, as the agreement does not confer any goodwill or other interest in the Marks to the franchisee beyond the right to operate under the agreement.
While the franchise agreement grants Cool Binz significant control over the Marks, it also includes some protections for franchisees. For example, franchisees must be notified immediately of any apparent infringement or challenge to their use of any Mark. Cool Binz also has the sole discretion to take action it deems appropriate and the right to control exclusively any litigation. If the franchisee has complied with the agreement and notified Cool Binz of the claim, Cool Binz will indemnify and hold the franchisee harmless against reasonable litigation expenses incurred in connection with any such infringement, challenge or claim.
Prospective franchisees should carefully consider the implications of the non-exclusive license and the rights Cool Binz reserves regarding the Marks. It is important to understand how Cool Binz might use the Marks in the future and how that could affect the franchisee's business. Additionally, franchisees should be aware of their obligations to protect the Marks and notify Cool Binz of any potential infringements.
