You agree that no modifications of this Agreement (except those specifically authorized herein) shall be effective except those in writing and signed by both parties. You acknowledge that you have not received any express or implied representations or warranties regarding the sales, earnings, income, profits, gross revenues, business or financial success, value of the franchise, provided by us or our representatives or any other matters pertaining to the franchise from us or any of our officers, employees or agents that were not contained in this Agreement or the Franchise Disclosure Document received by you (hereinafter "Representations").

According to Cool Binz's 2025 Franchise Disclosure Document, a franchisee acknowledges that they have not received any express or implied representations or warranties regarding the potential sales, earnings, income, profits, gross revenues, business or financial success, or the value of the Cool Binz franchise from Cool Binz or its representatives. Furthermore, the franchisee acknowledges that their decision to execute the Franchise Agreement is based solely on the information contained within the agreement and the FDD. If the franchisee did receive any representations outside of these documents, they are obligated to (a) promptly notify Cool Binz in writing of the person or persons making such representations and (b) provide Cool Binz with a specific written statement detailing the representations made. This provision is designed to protect Cool Binz from any claims based on verbal or undocumented promises.
This acknowledgement is a standard legal protection for franchisors. It ensures that franchisees cannot later claim they were misled by promises or projections not included in the official documents.
