What This Means (2025 FDD)
According to Cool Binz's 2025 Franchise Disclosure Document, the 'System' encompasses the business formats, methods, procedures, signs, standards, specifications, and Marks that Cool Binz authorizes and approves for franchisees to use. This system is utilized in operating businesses that offer leases for portable storage containers, devices, and equipment, including climate-controlled and nonclimate-controlled storage containers, mobile offices, mobile refrigeration units, and freezers. The System is designed for marketing, promoting, advertising, managing, conducting, and operating these businesses under the Cool Binz Marks.
For a prospective Cool Binz franchisee, understanding and adhering to the System is crucial. The franchise agreement awards the franchisee the right to operate a Cool Binz Business utilizing this System. Franchisees must operate and maintain their Cool Binz Business according to System Standards, which are essential for preserving the goodwill associated with the Marks and the entire Cool Binz franchise network. These standards may be modified and supplemented during the term of the agreement, and franchisees are obligated to comply with any such changes immediately upon notification.
Compliance with the System also extends to technology. Franchisees may be required to purchase or lease a Computer System, COOL BINZ Software, and other Required Software, and must comply with Cool Binz's standards and specifications for these items. Cool Binz may also require the Computer System to automatically transmit data and reports about the business's operation and may electronically connect with the system to monitor or retrieve data. All client and customer data is considered Cool Binz's property.
Furthermore, during the term of the Franchise Agreement, franchisees are restricted from engaging in any other business offering similar leasing services and from using Cool Binz's Confidential Information, System, intranet website, Operations Manual, Marks, Customer lists, or trade secrets in any business other than the franchised Cool Binz Business. This underscores the importance of the System in maintaining uniformity and protecting Cool Binz's brand and operational integrity across all franchise locations.
