What This Means (2025 FDD)
According to the 2025 Cool Binz Franchise Disclosure Document, in the event of a conflict of laws, the provisions of the Washington Franchise Investment Protection Act, Chapter 19.100 RCW, will take precedence. This means that if any part of the franchise agreement clashes with the Washington Franchise Investment Protection Act, the Act's provisions will be the governing standard.
Furthermore, RCW 19.100.180 may supersede the franchise agreement in the franchisee's relationship with Cool Binz, particularly concerning the termination and renewal of the franchise. This indicates that certain sections of the Washington law could override the terms outlined in the franchise agreement regarding how the franchise can be terminated or renewed.
Additionally, court decisions may also supersede the franchise agreement in the relationship between Cool Binz and the franchisee, especially in matters of termination and renewal. This suggests that legal precedents set by court rulings could have a greater impact than the franchise agreement itself on these critical aspects of the franchise relationship. Therefore, a Cool Binz franchisee's release or waiver of rights is not acceptable if it conflicts with the Washington Franchise Investment Protection Act, relevant sections of the RCW, or applicable court decisions.
