- you are in full compliance with this Agreement or any other agreement between you and us, our affiliates, or our designated/approved suppliers and vendors, and you have paid all accrued monetary obligations to us, our affiliates, and our designated/approved suppliers and vendors;

- the transferee and its owners, affiliates, and owners' immediate family members are not engaged in a competitive business, unless they agree to operate all competitive businesses that provide pest management for all manner of ants, spiders, roaches, stinging pests, flying pests and rodents on a recurring and/or one time basis, and other related services as a part of the System;

- you provide us with written authorization to release to the transferee any and all information about the operation of the Clear Pest Pros Business which we have collected;

- at our option, the transferee must sign our then-current form of franchise agreement for a full term, the personal guaranty and all other required exhibits, the terms of which may material differ from the terms of this Agreement;

What This Means (2025 FDD)
According to Clear Pest Pros's 2025 Franchise Disclosure Document, a transferee must meet several standards and qualifications to be approved as a new franchisee. The transferee must demonstrate sufficient business experience, aptitude, and financial resources to meet Clear Pest Pros's then-current standards for new franchisees, which may include aptitude or assessment testing. The transferee and their owners/affiliates cannot be engaged in any competitive business unless they agree to operate all competitive businesses that provide pest management for all manner of ants, spiders, roaches, stinging pests, flying pests and rodents on a recurring and/or one time basis, and other related services as a part of the Clear Pest Pros System.
Additionally, the current franchisee must be in full compliance with all agreements with Clear Pest Pros, its affiliates, and approved suppliers, and have paid all accrued monetary obligations. The transferee may be required to sign the then-current form of the franchise agreement, which may differ materially from the original agreement. In the case of an installment sale where the franchisee provides financing to the transferee, the franchisee must continue to guarantee performance and payment obligations to Clear Pest Pros until the final closing of the sale or final payment. The franchisee must provide Clear Pest Pros with written authorization to release any information about the Clear Pest Pros business operation to the transferee.
The transferee must obtain and maintain all required permits and licenses for operating the Clear Pest Pros business. Lessors or other parties must consent to the proposed transfer to the extent required by any leases or agreements. The transfer must comply with all applicable laws, including state and federal franchise laws. Clear Pest Pros may require the transferee to purchase all or a portion of the Initial Package, new or refurbished equipment, inventory, new vehicles/vehicle wraps, and complete remodeling or renovations to comply with current System Standards. The initial package costs $38,000 and includes a tablet, backpack sprayer, software setup fees, consumables, branded materials, a convention allowance, as well as four (4) months of targeted digital marketing in your Territory.
Clear Pest Pros has 60 days from the written notice date to approve or disapprove the proposed assignment. The proposed transferee will be evaluated based on the same criteria used to assess new franchisees and will be provided with any disclosures required by law. Failure to provide notice of approval or disapproval within this period results in the request being deemed rejected. These stipulations ensure that any new Clear Pest Pros franchisee meets the brand's standards for business acumen, financial stability, and commitment to the Clear Pest Pros system, maintaining consistency and quality across the franchise network.
