System Standards, to be specified and periodically amended in the Operations Manual or otherwise in writing, may include, without limitation, standards and specification regarding:
-
- the use of supplies and equipment;
You acknowledge and agree that the operation and maintenance of your Clear Pest Pros Business according to System Standards is essential to preserve the goodwill for the Marks and all Clear Pest Pros franchisees. Therefore, at all times during the term of this Agreement, you agree that the Managing Owner or, if applicable, the Designated General Manager, devote your full-time best efforts to operate and maintain your Business according to each and every System Standard, even if you believe that a System Standard is not in the System's or your franchise's best interests. System Standards may be periodically modified and supplemented during the term of this Agreement and you must comply with any such changes immediately upon notice to you.
The various elements of the System are incorporated into the Operations Manual, online training modules and the Clear Pest Pros owner's intranet website (collectively, the "Operations Manual"). We also have a set of system standards that will contain mandatory and suggested specifications, standards, operating procedures, and rules (the "System Standards") that we prescribe periodically for the operation of a Clear Pest Pros Business, and information on your other obligations under the Franchise Agreement and related agreements. We may modify the Operations Manual and System Standards periodically to reflect changes in the System.
All products and materials must meet System Standards and specifications for representation of the Marks, and be pre-approved by us regardless of the supplier. In the event you wish to purchase an unapproved item, including inventory, and/or acquire approved items from an unapproved supplier, you must provide us a written request for approval, including a proof of the materials you wish to order and provide us with a fee to cover our expenses, which is currently $500 per request. We will notify you in writing of our approval or disapproval within ten (10) days of receipt of the materials and your written request.

What This Means (2025 FDD)
According to Clear Pest Pros's 2025 Franchise Disclosure Document, the franchise agreement stipulates that franchisees must adhere to the System Standards regarding the use of supplies and equipment. These standards are specified and may be periodically amended in the Operations Manual or in writing. Compliance with these standards is crucial for maintaining the goodwill associated with the Clear Pest Pros brand and ensuring consistency across all franchise locations. Franchisees are expected to operate their business according to these standards, even if they believe a standard is not in their best interest.
The Operations Manual, online training modules, and the Clear Pest Pros owner's intranet website collectively contain the various elements of the System. These resources include mandatory and suggested specifications, standards, operating procedures, and rules that Clear Pest Pros prescribes for the operation of the business. Clear Pest Pros may modify the Operations Manual and System Standards periodically to reflect changes in the System, and franchisees are obligated to comply with these changes immediately upon notification.
Furthermore, all products and materials used in the Clear Pest Pros business must meet System Standards and specifications for representing the brand's trademarks. These items must be pre-approved by Clear Pest Pros, regardless of the supplier. If a franchisee wishes to purchase an unapproved item or acquire approved items from an unapproved supplier, they must submit a written request for approval along with a fee to cover Clear Pest Pros's expenses, which is currently $500 per request. Clear Pest Pros will then notify the franchisee in writing of their approval or disapproval within ten days of receiving the request and materials.
