What This Means (2025 FDD)
According to Clear Pest Pros's 2025 Franchise Disclosure Document, franchisees are explicitly prohibited from copying or reverse-engineering the Clear Pest Pros software. The Franchise Management Software License Agreement states that the licensee "shall not copy or reverse-engineer the Product in whole or in part, nor shall it permit other parties to do so." This restriction is a standard practice in franchising to protect the franchisor's intellectual property and maintain uniformity across the franchise system.
Clear Pest Pros emphasizes the proprietary nature of its software, stating that it is the franchisor's copyrighted property, represents a significant investment, constitutes a trade secret, and contains confidential information. Franchisees must agree to keep the software and all related materials confidential and take appropriate action to ensure their employees and other parties also maintain this confidentiality. This obligation extends to preventing the software or any of its parts from being made available to any third party.
This restriction is crucial for Clear Pest Pros to maintain control over its technology and prevent unauthorized use or modification of its software. Unauthorized copying or reverse engineering could compromise the integrity of the system, potentially leading to security vulnerabilities, data breaches, or unfair competition. By strictly prohibiting these activities, Clear Pest Pros aims to safeguard its competitive advantage and ensure the consistent operation of all franchise locations.
For a prospective Clear Pest Pros franchisee, this means understanding and adhering to the strict limitations on software use. It is essential to ensure that all employees and anyone with access to the software are aware of these restrictions and the potential consequences of violating them. Franchisees should also be prepared to implement appropriate security measures to protect the software from unauthorized access or use.
