You acknowledge and agree that the operation and maintenance of your Clear Pest Pros Business according to System Standards is essential to preserve the goodwill for the Marks and all Clear Pest Pros franchisees. Therefore, at all times during the term of this Agreement, you agree that the Managing Owner or, if applicable, the Designated General Manager, devote your full-time best efforts to operate and maintain your Business according to each and every System Standard, even if you believe that a System Standard is not in the System's or your franchise's best interests. Furthermore, you must use your best efforts to assure that your employees and representatives conduct themselves, during business hours and/or whenever they are in a vehicle with a Clear Pest Pros logo, or a company uniform with a Clear Pest Pros patch, in a manner which is consistent with the professional and ethical image of the System.

What This Means (2025 FDD)

According to Clear Pest Pros's 2025 Franchise Disclosure Document, franchisees must comply with changes to the System Standards immediately upon receiving notice of the changes. The FDD emphasizes that maintaining System Standards is crucial for preserving the goodwill associated with the Clear Pest Pros brand and ensuring uniformity across all franchise locations. This requirement applies even if a franchisee believes a particular System Standard is not in their best interest.

The System Standards may be modified and supplemented periodically throughout the term of the Franchise Agreement. These standards are specified and amended in the Operations Manual or in writing. Franchisees are also expected to ensure that their employees and representatives conduct themselves in a manner consistent with the professional and ethical image of the Clear Pest Pros system, especially when in uniform or using company vehicles.

Clear Pest Pros retains the right to modify the System Standards to reflect changing market conditions and consumer demands. These modifications can include adopting new trademarks, uniforms, vehicle types, technologies, products, equipment, services, techniques, software, methodologies, and sales strategies. Franchisees are responsible for promptly implementing these changes at their own expense to maintain the System's integrity and public image.

This immediate compliance requirement places a significant responsibility on Clear Pest Pros franchisees to stay informed of any updates to the System Standards and to adapt their business practices accordingly. Failure to comply with these standards can result in consequences, potentially including termination of the Franchise Agreement.
