What This Means (2025 FDD)
According to the 2025 Clear Pest Pros Franchise Disclosure Document, the franchisor defines abandonment of the business if a franchisee ceases to continuously and actively operate the business for five consecutive days. This is with the exception of circumstances caused by an act of God or other situations beyond the franchisee's control, as determined by Clear Pest Pros.
Another condition that constitutes abandonment is if the business telephone is disconnected at any time and no new number is immediately reinstalled or reconnected. Additionally, Clear Pest Pros retains the right to determine if any other conduct by the franchisee constitutes abandonment of the business.
This clause is important for prospective franchisees as it outlines specific situations that could lead to termination of the franchise agreement. Franchisees need to ensure continuous operation of the business and maintenance of communication channels to avoid being in breach of contract. The broad discretion given to Clear Pest Pros to determine what constitutes abandonment beyond the specific examples could be a point of negotiation or further clarification during the due diligence process.
