In awarding the Clear Pest Pros Business, what is the franchisor relying upon?

You have applied for a franchise to own and operate a Clear Pest Pros Business. Subject to all of the terms and conditions of this Agreement, we hereby award you a franchise (the "Franchise") to operate a Clear Pest Pros Business utilizing the System and the Marks in the Territory that you and we have agreed to as described on the Summary Page and in Section 1.D below. We will not allow another Clear Pest Pros franchisee or Company Store to perform work within your Territory, except as outlined in Section 1.D below, unless you are not in full compliance with this Agreement.
The Franchise Agreement grants you the right to operate the Clear Pest Pros Business only within the Territory defined in the Franchise Agreement.
The term of the franchise will be ten (10) years (the "Initial Term") commencing on the date of this Agreement.

What This Means (2025 FDD)
According to the 2025 FDD, Clear Pest Pros awards a franchise to operate a Clear Pest Pros Business utilizing the System and the Marks in the agreed-upon Territory, subject to the terms and conditions of the Franchise Agreement. The agreement grants the franchisee the right to operate only within the defined Territory. The franchise term is ten years, referred to as the "Initial Term," commencing on the agreement date.
To maintain the franchise, the franchisee must diligently perform their obligations under the Franchise Agreement. A managing owner, approved by Clear Pest Pros, serves as the primary contact. This managing owner must complete the JumpStart and Initial Training Programs. They must also exert full-time efforts to manage and promote the Clear Pest Pros Business. Without prior written permission, the managing owner cannot engage in conflicting business activities.
Before attending initial training or upon changes to legal entity ownership, the franchisee must submit a corporate resolution stating the corporation or LLC name, the legal names of all partners or shareholders, and their ownership percentages. Clear Pest Pros will not allow another franchisee or Company Store to perform work within the franchisee's Territory unless the franchisee is not in full compliance with the agreement.
