in the form attached as Exhibit D hereto, to execute a Confidentiality and Non-Competition Agreement in the form that we designate (the current form of which is attached hereto as Exhibit C).
The term "Competitive Business" means any business operating, supporting, or soliciting, or granting franchises or licenses to others to operate, support or solicit, any business that offers facials and/or other skincare services (excluding any CYDF Facial Bars operated under a franchise agreement with us or our affiliate).

What This Means (2025 FDD)
According to the 2025 Clean Your Dirty Face Franchise Disclosure Document, a franchisee is restricted from operating a "Competitive Business," which is defined as any business that offers facials and/or other skincare services, excluding other Clean Your Dirty Face Facial Bars operated under a franchise agreement with them or their affiliates. This restriction applies during the term of the Franchise Agreement.
This means that while franchisees are allowed to own and operate multiple Clean Your Dirty Face locations, they are generally prohibited from engaging in any other business that directly competes with Clean Your Dirty Face's core services. This non-compete clause extends not only to the franchisee but also to their owners and their immediate family members. They are restricted from soliciting or interfering with Clean Your Dirty Face's relationships with customers, vendors, or consultants, or engaging in any activity that might harm the goodwill of the Clean Your Dirty Face brand or franchise system.
