Does Clean Your Dirty Face reserve the right to establish a reciprocity program between franchises?

According to Clean Your Dirty Face's 2025 Franchise Disclosure Document, Clean Your Dirty Face retains the right to establish a reciprocity program between franchise locations. As a franchisee, you must adhere to all standards and requirements of any reciprocity program implemented and modified by Clean Your Dirty Face.

Clean Your Dirty Face may also regulate the terms and conditions upon which a member may transfer his Membership from your Business to another CYDF Facial Bar and vice versa and admission of members of your Business to other CYDF Facial Bars. System Standards may regulate, among others, the following topics: (1) the types and terms of Memberships you may offer; (2) the form(s) of Membership Agreement; (3) the terms and conditions upon which a member may transfer his Membership from your Business to another CYDF Facial Bar and vice versa; (4) admission of members of your Business to other CYDF Facial Bars; (5) procedures to follow when members transfer to or from your Business; (6) use and acceptance of coupons, passes, and certificates; (7) group accounts and group Memberships; (8) Membership discounts; and (9) payment terms for Memberships.

Clean Your Dirty Face can require you to accept any Memberships they assign to you and honor those Memberships under the existing Membership Agreement's terms and conditions. In such cases, you will only receive the payments that accrue from the time of assignment according to the applicable Membership Agreement. This means Clean Your Dirty Face has significant control over membership programs and can implement changes that affect your business operations and revenue.

This clause ensures that Clean Your Dirty Face can implement a unified membership experience across all franchise locations, which can enhance brand consistency and customer loyalty. However, it also means franchisees must be prepared to adapt to changes in the membership program and potentially honor memberships from other locations, which could impact their revenue and operational procedures.
