2.E. COMPUTER SYSTEM.
You agree to obtain and use the computer hardware, sales and scheduling software, pointof-sale system and/or other operating software we specify from time to time (the "Computer System"). We may modify specifications for and components of the Computer System from time to time and you agree to implement our modifications within thirty (30) days after you receive notice from us. We might periodically require you to purchase, lease, and/or license new or modified computer hardware and/or software and to obtain service and support for the Computer System. Although we cannot estimate the future costs of the Computer System or required service or support, and although these costs might not be fully amortizable over this Agreement's remaining term, you agree to incur the costs of obtaining the computer hardware and software comprising the Computer System (and any additions and modifications) and required service or support.
You must obtain and install the Computer System, and ensure that the Computer System is functioning properly, before your Business opens.
You must pay for any proprietary software or technology that we, our affiliates or thirdparty designees license to you and for other maintenance and support services that we, our affiliates or third-party designees provide during this Agreement's term. We or our affiliates may condition your license of any proprietary software, or your use of technology that we or our affiliates develop or maintain, on your signing a license agreement or similar document that we or our affiliates approve to regulate your use of, and our and your respective rights and responsibilities with respect to, such software or technology.
The Computer System may give us and our affiliates access to all information generated by the Computer System, including price maintenance and information relating to customers for your Business. At our request, you agree to sign a release with any vendor of your Computer System providing us with unlimited access to your data.
Despite the fact that you agree to buy, license, use, and maintain the Computer System according to our standards and specifications, you will have sole and complete responsibility for acquiring, operating, maintaining and upgrading: (1) the Computer System; (2) the connectivity of your Computer System (including the point-of-sale system); and (3) third-party interfaces between the Computer System and our and any third party's computer system. You will have sole and complete responsibility for any and all consequences if the Computer System is not properly operated, maintained, and upgraded.

What This Means (2025 FDD)
According to Clean Your Dirty Face's 2025 Franchise Disclosure Document, franchisees are required to obtain and use a computer system. This system includes specified computer hardware, sales and scheduling software, a point-of-sale system, and other operating software as designated by Clean Your Dirty Face. Clean Your Dirty Face may modify the specifications and components of the Computer System, and franchisees must implement these changes within 30 days of receiving notice. Franchisees may also be required to purchase, lease, or license new or modified hardware and software and obtain service and support for the system.
The Computer System must be installed and functioning properly before the Clean Your Dirty Face location opens. Franchisees are responsible for the costs associated with acquiring, operating, maintaining, and upgrading the Computer System, including connectivity and third-party interfaces. They are also responsible for any consequences resulting from the system not being properly maintained or upgraded.
Clean Your Dirty Face and its affiliates may access all information generated by the Computer System, including price maintenance and customer information. Franchisees may be required to sign a release with the Computer System vendor granting Clean Your Dirty Face unlimited access to their data. This level of access allows Clean Your Dirty Face to monitor sales, customer data, and pricing strategies across all franchise locations, ensuring compliance with system standards and potentially informing marketing and operational decisions.
Clean Your Dirty Face also reserves the right to require franchisees to obtain and use an email address associated with their registered domain name. If required, franchisees must adhere to Clean Your Dirty Face's terms, conditions, and system standards. Clean Your Dirty Face will have unrestricted access to and sole ownership of all such email accounts, including all documents, data, materials, and messages shared from or by such accounts and may deactivate or limit access to these accounts at any time. Clean Your Dirty Face also reserves the right to charge a fee for each email address provided.
