Ongoing Computer System Requirements
Over the term of your franchise, we may modify the specifications for, and components of the Computer System and you must implement our modifications within 30 days after you receive notice from us. We may also require you to purchase, lease, and/or license new or modified computer hardware and/or software and to obtain service and support for the Computer System. There are no contractual limitations on the frequency and cost of this obligation. We need not reimburse you for any of these costs. You must pay for any additional or replacement proprietary software or technology that we, our affiliates, or a third-party designee licenses to you and for other maintenance and support services that we, our affiliates or third-party designees provide during the Franchise Agreement's term. Although the future costs of the Computer System or required service or support might not be fully amortizable over the Franchise Agreement's remaining term, you must incur the costs of obtaining the computer hardware and software comprising the Computer System (or additions and modifications) and required service and support. What This Means (2025 FDD)
According to Clean Your Dirty Face's 2025 Franchise Disclosure Document, franchisees are responsible for all costs associated with the computer system, including modifications, and Clean Your Dirty Face is not obligated to reimburse these expenses. Clean Your Dirty Face may modify the specifications and components of the computer system, and franchisees must implement these changes within 30 days of receiving notice.
Clean Your Dirty Face may also require franchisees to purchase, lease, or license new or modified computer hardware and software, as well as obtain service and support for the computer system. There are no contractual limitations on the frequency and cost of this obligation, meaning these modifications could occur often and be costly. The FDD states that Clean Your Dirty Face does not need to reimburse franchisees for any of these costs.
The franchisee is also responsible for paying for any additional or replacement proprietary software or technology licensed from Clean Your Dirty Face, its affiliates, or a third-party designee, as well as for other maintenance and support services provided during the franchise agreement term. The estimated annual cost of maintenance, updates, upgrades, and support for the computer system is up to $500 per year. Even if the costs of the computer system or required service or support are not fully amortizable over the remaining term of the Franchise Agreement, the franchisee must still bear these costs.
