We license the Marks from Krishna IP ("Trademark Owner"), who owns all rights to the Marks, pursuant to a Trademark License Agreement (the "License Agreement"). The term of the License Agreement began on March 30, 2022 and will continue for 99 years unless terminated. The License Agreement may be terminated (resulting in the loss of our right to use and to sublicense the use of the Marks to you) by mutual agreement of the parties, or by Trademark Owner for a number of reasons, including if we default on any obligations, we are dissolved, make an assignment for the benefit of creditors, become insolvent, consent to appointment of a receiver, or our business is seized. All rights in and goodwill from the use of the Marks accrue to Trademark Owner. Except as described above, no agreement significantly limits our rights to use or sublicense the Marks in a manner material to the franchise.
The following table sets forth the status of applications filed with the U.S. Patent and Trademark Office ("USPTO") on the Principal Register of the principal marks licensed to you.

There is presently no effective determination of the USPTO, the Trademark Trial and Appeal Board, the trademark administrator of any state or any court, nor any pending infringement, opposition or cancellation proceeding or any pending material litigation involving our principal Marks.

What This Means (2025 FDD)
According to Clean Your Dirty Face's 2025 Franchise Disclosure Document, Krishna IP ("Trademark Owner") owns all rights to the Clean Your Dirty Face trademarks. Clean Your Dirty Face licenses the trademarks from Krishna IP, pursuant to a Trademark License Agreement. This agreement began on March 30, 2022, and will continue for 99 years unless terminated. All rights in and goodwill from the use of the Marks accrue to Trademark Owner.
This arrangement means that while Clean Your Dirty Face franchisees are granted the right to use the trademarks, the franchisor itself does not own them outright. The License Agreement can be terminated by mutual agreement or by the Trademark Owner if Clean Your Dirty Face defaults on obligations, is dissolved, makes an assignment for the benefit of creditors, becomes insolvent, or consents to the appointment of a receiver, or if its business is seized. If the License Agreement is terminated, Clean Your Dirty Face would lose the right to use and sublicense the use of the Marks to its franchisees.
As a Clean Your Dirty Face franchisee, you must not contest the validity of Clean Your Dirty Face and Trademark Owner's ownership of the Marks. Your use of the Marks and any goodwill established by that use are exclusively for Clean Your Dirty Face and Trademark Owner's benefit. Clean Your Dirty Face must indemnify you against, and reimburse you for, all damages for which you are held liable in any proceeding in which your use of any Mark in compliance with the Franchise Agreement is held to constitute trademark infringement, and for all reasonable costs you incur in the defense of any claim brought against you or in any proceeding in which you are named as a party, only if you have timely notified Clean Your Dirty Face of the claim or proceeding and comply with Clean Your Dirty Face's directions in responding to the proceeding. At Clean Your Dirty Face's option, Clean Your Dirty Face and/or Trademark Owner may defend and control the defense of any proceeding from your use of any Mark under the Franchise Agreement.
