What This Means (2025 FDD)

According to Clean Your Dirty Face's 2025 Franchise Disclosure Document, Clean Your Dirty Face does not indemnify franchisees for damages or expenses in copyright proceedings. The FDD states that Clean Your Dirty Face is not required to participate in a franchisee's defense nor indemnify them for damages or expenses in a proceeding involving copyright.

This means that if a franchisee is sued for copyright infringement related to their Clean Your Dirty Face business, they will be responsible for their own legal defense and any resulting damages. This is a notable risk for prospective franchisees, as copyright claims can be costly to defend, even if the franchisee is ultimately found not liable.

While Clean Your Dirty Face does not offer copyright indemnification, they do claim copyrights in their Operations Manual, handbooks, Franchise System Websites, advertising and marketing materials, all or part of the Marks, and other portions of the Franchise System and other similar materials used in operating CYDF Facial Bars. Clean Your Dirty Face states that they intend to protect their copyrights if they determine it is in the Franchise System's best interests and they may control any action involving the copyrights, even if a franchisee voluntarily brings the matter to their attention.
