in the form attached as Exhibit D hereto, to execute a Confidentiality and Non-Competition Agreement in the form that we designate (the current form of which is attached hereto as Exhibit C).
The term "Competitive Business" means any business operating, supporting, or soliciting, or granting franchises or licenses to others to operate, support or solicit, any business that offers facials and/or other skincare services (excluding any CYDF Facial Bars operated under a franchise agreement with us or our affiliate).
NON-INTERFERENCE. 7.B.
You further agree that, during the term of this Agreement, neither you, any of your owners, nor any of your or your owners' immediate family members will either solicit, interfere, or attempt to interfere with our or our affiliates' relationships with any customers, vendors, or consultants, or engage in any other activity which might injure the goodwill of the Marks or the Franchise System.

What This Means (2025 FDD)
According to the 2025 Clean Your Dirty Face Franchise Disclosure Document, franchisees are restricted from engaging in competitive businesses. A "Competitive Business" is defined as any business that offers facials and/or other skincare services, either directly or by supporting or franchising such businesses. This restriction does not apply to Clean Your Dirty Face Facial Bars operated under a franchise agreement with Clean Your Dirty Face or its affiliates.
This non-compete agreement extends not only to the franchisee but also to their owners and immediate family members. During the term of the Franchise Agreement, they are prohibited from soliciting, interfering, or attempting to interfere with Clean Your Dirty Face's relationships with customers, vendors, or consultants. They must also avoid any activity that could harm the goodwill of the Clean Your Dirty Face brand or the Franchise System.
Furthermore, franchisees must not disparage Clean Your Dirty Face, its affiliates, or the Clean Your Dirty Face brand. This includes refraining from negative comments or actions that could subject the brand to ridicule or negatively impact its goodwill. This obligation extends to the franchisee's current and former shareholders, members, officers, directors, principals, agents, partners, employees, independent contractors, representatives, attorneys, spouses, affiliates, successors, and assigns.
In practical terms, a Clean Your Dirty Face franchisee must ensure that neither they nor their close family members are involved in any competing skincare businesses during the franchise term. This restriction is designed to protect the Clean Your Dirty Face brand and franchise system from direct competition and potential damage to its reputation and relationships.
