In the event that your Operating Partner ceases to own at least its required ownership interest in you, you must recruit a new Operating Partner within 6 days of the change in ownership and submit the identity of the new Operating Partner to us for our review and approval. If you appoint a new Operating Partner after you open your CYDF Facial Bar, the Operating Partner must complete the Training Program within 30 days after the date of appointment. You must keep us informed at all times of the identity of the Operating Partner.

What This Means (2025 FDD)
According to Clean Your Dirty Face's 2025 Franchise Disclosure Document, if a franchisee entity's Operating Partner ceases to own at least 25% ownership and voting power, the franchisee must recruit a new Operating Partner within 60 days of the change in ownership or disapproval. The franchisee must then deliver a revised Exhibit A to accurately identify the new Operating Partner for Clean Your Dirty Face's review and approval.
Clean Your Dirty Face reserves the right to approve the Operating Partner. The Operating Partner is authorized to deal with Clean Your Dirty Face on behalf of the franchisee for all matters related to the Franchise Agreement, and Clean Your Dirty Face will rely solely on the Operating Partner's decisions, which are binding on the franchisee. Clean Your Dirty Face will not be liable for any actions based on the Operating Partner's decisions or actions.
If the franchisee appoints a new Operating Partner after opening their Clean Your Dirty Face Facial Bar, the Operating Partner must complete the Training Program within 30 days after the date of appointment. The franchisee must keep Clean Your Dirty Face informed of the identity of the Operating Partner at all times. This ensures that the Operating Partner is properly trained and authorized to manage the Clean Your Dirty Face Facial Bar, maintaining the standards and quality of the franchise.
