What is considered a 'Franchise System Website' for Clean Your Dirty Face?

We may establish, acquire, or host any website(s) to advertise, market, and promote CYDF Facial Bars, the products and services that they offer and sell, and/or a CYDF Facial Bars franchise
opportunity (each a "Franchise System Website"). We may (but are not required to) provide you with a webpage on a Franchise System Website that references your Business for informational purposes only. If we provide you with a webpage on a Franchise System Website, you must: (i) provide us the information and materials we request to develop, update, and modify your webpage; (ii) notify us whenever any information on your webpage is not accurate; and (iii) if we give you the right to modify your webpage, notify us whenever you change the content of your webpage. We will own all intellectual property and other rights in all Franchise System Websites, including your webpage and all information it contains (including the domain name, any associated URL or email address, any website analytical data, and any personal or business data that visitors supply).
We may use Marketing Fund assets to develop, maintain and update any Franchise System Website. We periodically may update and modify any Franchise System Website (including your webpage). You acknowledge that we have final approval rights over all information on any Franchise System Website (including your webpage). We may implement and periodically modify System Standards relating to any Franchise System Website.
Even if we provide you a webpage on a Franchise System Website, we will only maintain this webpage while you are in full compliance with this Agreement and all System Standards we implement (including those relating to Franchise System Websites). If you are in default of any obligation under this Agreement or our System Standards, then we may temporarily remove your webpage from any or all Franchise System Website(s) until you fully cure the default. We will permanently remove your webpage from all Franchise System Websites upon this Agreement's expiration or termination.

What This Means (2025 FDD)
According to Clean Your Dirty Face's 2025 Franchise Disclosure Document, a 'Franchise System Website' is any website that Clean Your Dirty Face establishes, acquires, or hosts to advertise, market, and promote Clean Your Dirty Face Facial Bars, including the products and services they offer, as well as the Clean Your Dirty Face franchise opportunity itself. Clean Your Dirty Face has the option, but not the obligation, to provide franchisees with a webpage on the Franchise System Website that references their specific business for informational purposes.
If Clean Your Dirty Face provides a franchisee with a webpage, the franchisee is required to supply the information and materials necessary for Clean Your Dirty Face to develop, update, and modify the webpage. Franchisees must also promptly notify Clean Your Dirty Face of any inaccuracies on their webpage and, if given modification rights, inform Clean Your Dirty Face of any content changes they make. Clean Your Dirty Face retains ownership of all intellectual property and other rights related to the Franchise System Websites, including the franchisee's webpage and all its content, encompassing the domain name, URL, email address, website analytical data, and any personal or business data provided by visitors.
Clean Your Dirty Face may use Marketing Fund assets to develop, maintain, and update any Franchise System Website, and they periodically may update and modify any Franchise System Website, including a franchisee's webpage. Clean Your Dirty Face maintains final approval rights over all information presented on any Franchise System Website, including the franchisee's webpage, and may implement and modify System Standards related to any Franchise System Website. Even if Clean Your Dirty Face provides a webpage on a Franchise System Website, they will only maintain it as long as the franchisee is in full compliance with the Franchise Agreement and all System Standards. If a franchisee defaults on any obligation, Clean Your Dirty Face may temporarily remove the franchisee's webpage until the default is cured, and will permanently remove the webpage upon the Franchise Agreement's expiration or termination.
Clean Your Dirty Face also reserves the sole right to sell products sold by Clean Your Dirty Face Facial Bars on the Internet through Franchise System Websites, and franchisees are prohibited from selling any Clean Your Dirty Face Facial Bar products or services to customers on a website through the Internet or through any alternative channels of distribution, such as catalog sales, telemarketing, and retail stores. Franchisees are generally restricted from developing or maintaining any Online Presence that mentions their business, links to any Franchise System Website, or displays any of the Marks without written approval from Clean Your Dirty Face. If Clean Your Dirty Face approves the use of any Online Presence, it must be developed and maintained according to Clean Your Dirty Face's then-current Online Presence policy, and Clean Your Dirty Face will own the rights to each such Online Presence.
