What This Means (2025 FDD)

According to Clean Your Dirty Face's 2025 Franchise Disclosure Document, the consent agreement constitutes the entire understanding between the parties involved with respect to the matters it addresses. Specifically, this applies to the consent provided by Mud Franchising, LLC for the transfer of a Clean Your Dirty Face Facial Bar from one party (the Transferor) to another (the Transferee). This means that the terms outlined in the consent agreement are the complete and final terms, superseding any prior discussions or agreements related to that specific consent.

This provision aims to provide clarity and prevent disputes by ensuring that all parties are bound by the written terms of the consent agreement. It also confirms that only the consent to the transfer is governed by this agreement, and any further assignments or transfers will require separate consent from Clean Your Dirty Face. This is a standard clause in franchise agreements to ensure that all parties are clear about their obligations and rights regarding the transfer of ownership.

For a prospective Clean Your Dirty Face franchisee, this clause means that they should carefully review the consent agreement and ensure that they fully understand its terms before signing. Any concerns or questions should be addressed before executing the agreement, as it represents the entire understanding between the parties regarding the specific matters it covers. This also highlights the importance of seeking legal counsel to review the agreement and ensure that the franchisee's interests are protected.
