What does the Technology System designed by City Wide consist of?

(such Software and hardware collectively, "Technology System"). The Technology System may include components licensed to City Wide or to Franchisee directly by third parties ("Suppliers").
- C. City Wide has the knowledge and experience to provide Franchisee with laptop hardware, desktop monitoring, desktop support software updates and other technology-related assistance ("IT Services") to support the efficiency of your Technology Systems.
- D. Franchisee desires to obtain the Technology Systems from City Wide and to retain City Wide to provide said services, subject to the terms and conditions of this Agreement.
In consideration of the foregoing premises and the mutual covenants and agreements contained herein, the Parties hereby agree as follows:

- Technology System. Once the Franchise Agreement is fully executed, City Wide will provide Franchisee with the number of Technology Systems that Franchisee will need to operate its Franchised Business based upon the number of employees Franchisee hires. The following conditions will apply to Franchisee's use of the Technology System:
- a. Software will be installed and configured by City Wide or its designated representatives on the hardware components of the Technology System. All maintenance, updates and repair of the Software shall be provided by City Wide. Franchisee will maintain an internet connection to each Technology System to facilitate updates, revisions support and access by City Wide to the Software and for data exchange between City Wide and Franchisee. Franchisee will also be responsible for ensuring a proper environment and proper utilities for the hardware components of the Technology Systems on which the Software will operate.
- b. The Technology Systems will be used only in the operations of the Franchised Business and will not be used to perform information processing for any other person, entity, or business.
- c. Franchisee acknowledges and agrees that the Technology Systems and any data generated by the use of the Software is the valuable property and trade secret of City Wide, and that City Wide has an interest therein, and Franchisee agrees to use the utmost care to safeguard the Technology Systems and any data generated by the use of the Software and to maintain the confidentiality thereof.
d. The Software is provided as a single compiled product and may not be disassembled or used in any manner other than as integrated into the Technology System.
- e. City Wide has the right at all times to access the Technology System.
f. City Wide reserves the right to add, delete or modify any specific software programs comprising the Software which are necessary for the operation of the Technology Systems. City Wide is the Systems Administrator and retains control of any and all applications
g. During the term of this Agreement, City Wide will provide IT Services to the Franchised Business (including employees) including laptop hardware, answering Franchisee's reasonable questions about access to and operation of the Technology System by e-mail, or in written and/or electronic documents.

What This Means (2025 FDD)
According to the 2025 City Wide FDD, once the Franchise Agreement is executed, City Wide will provide the franchisee with the necessary number of Technology Systems to operate the franchised business, based on the number of employees hired. City Wide or its representatives will install and configure the software on the hardware components of the Technology System, and City Wide will handle all maintenance, updates, and repairs of the software. The franchisee must maintain an internet connection for each Technology System to facilitate updates, revisions, support, and data exchange between City Wide and the franchisee. Additionally, the franchisee is responsible for ensuring a proper environment and utilities for the hardware components on which the software operates.
The Technology Systems are to be used solely for the franchised business operations and not for any other entity or business. The franchisee acknowledges that the Technology Systems and any data generated are the valuable property and trade secrets of City Wide. The franchisee must safeguard the Technology Systems and data and maintain confidentiality. The software is provided as a single compiled product and cannot be disassembled or used in any manner other than as integrated into the Technology System. City Wide retains the right to access the Technology System at all times and can add, delete, or modify any software programs necessary for the operation of the Technology Systems, acting as the Systems Administrator with control over all applications.
During the term of the agreement, City Wide will provide IT services to the franchised business, including employees, which includes laptop hardware. They will also answer reasonable questions about access to and operation of the Technology System via email or in written/electronic documents. These IT Services include minor software upgrades and modifications. However, City Wide reserves the right to determine when major upgrades or modifications are necessary and may charge a reasonable fee for these. If a major upgrade or modification is deemed necessary, the franchisee must implement the software change as directed by City Wide. City Wide is responsible for issuing and maintaining all security and access passwords, changing access upon the franchisee's reasonable request.
