What does the City Wide Technology System consist of?

CITY WIDE will provide mandatory initial training programs for three people: (1) Franchisee (or if Franchisee is not a natural person, for one (1) shareholder, partner, or officer of Franchisee as designated by Franchisee and approved by CITY WIDE) and two (2) other people of the Franchised Business in the Designated Territory. CITY WIDE may elect not to provide such initial training if CITY WIDE determines, at its sole and absolute right, that such training is not required. Training will not begin until Franchisee has obtained financing or shown sufficient assets to satisfy CITY WIDE of Franchisee's ability to meet its financial obligations under the Agreement, and Franchisee has started the online City Wide YOU training program. Before or at the commencement of the initial training program, CITY WIDE will procure and configure laptop hardware for Franchisee and its employees, for use in the operation and management of your Franchised Business (such Software and hardware collectively, "Technology System").
City Wide designed a certain compilation of computer software (the "Software") to install on hardware, such as a laptop, for use in the operation and management of your Franchised Business (such Software and hardware collectively, "Technology System"). The Technology System may include components licensed to City Wide or to Franchisee directly by third parties ("Suppliers").
Once the Franchise Agreement is fully executed, City Wide will provide Franchisee with the number of Technology Systems that Franchisee will need to operate its Franchised Business based upon the number of employees Franchisee hires. The following conditions will apply to Franchisee's use of the Technology System:
Software will be installed and configured by City Wide or its designated representatives on the hardware components of the Technology System. All maintenance, updates and repair of the Software shall be provided by City Wide. Franchisee will maintain an internet connection to each Technology System to facilitate updates, revisions support and access by City Wide to the Software and for data exchange between City Wide and Franchisee. Franchisee will also be responsible for ensuring a proper environment and proper utilities for the hardware components of the Technology Systems on which the Software will operate.
The Technology Systems will be used only in the operations of the Franchised Business and will not be used to perform information processing for any other person, entity, or business.
City Wide has the right at all times to access the Technology System.
City Wide reserves the right to add, delete or modify any specific software programs comprising the Software which are necessary for the operation of the Technology Systems.
During the term of this Agreement, City Wide will provide IT Services to the Franchised Business (including employees) including laptop hardware, answering Franchisee's reasonable questions about access to and operation of the Technology System by e-mail, or in written and/or electronic documents.
Franchisee agrees to pay to City Wide the fee structure, as set forth on Exhibit A, attached hereto and incorporated herein, per month per Technology System ("IT Services Fee"). The IT Services Fee shall be paid in the same way Franchisee remits Royalties and other fees to City Wide and will vary based upon peripheral components selected. The IT Services Fee may be increased based on City Wide's then current published rates.

What This Means (2025 FDD)
According to City Wide's 2025 Franchise Disclosure Document, the Technology System includes computer software installed on hardware, such as a laptop, for use in operating and managing the franchised business. This system may also include components licensed to City Wide or directly to the franchisee by third-party suppliers. City Wide procures and configures the laptop hardware for the franchisee and their employees to use in managing their City Wide franchise.
City Wide or its representatives will install and configure the software on the hardware components. City Wide is responsible for all maintenance, updates, and repairs of the software. The franchisee must maintain an internet connection for each Technology System to facilitate updates, revisions, support, and data exchange between City Wide and the franchisee. The franchisee is also responsible for ensuring a proper environment and utilities for the hardware components on which the software operates.
The Technology Systems are exclusively for the franchised business operations and not for any other entity. City Wide retains the right to access the Technology System at all times and to add, delete, or modify any software programs necessary for its operation, acting as the Systems Administrator with control over all applications. City Wide also provides IT services to the franchised business, including laptop hardware and answering questions about the Technology System via email or written documents. Franchisees will pay an IT Services Fee that varies based on selected peripheral components, and this fee may increase based on City Wide's current published rates.
