What This Means (2025 FDD)
According to City Wide's 2025 Franchise Disclosure Document, any prior negotiations and agreements are superseded by the release. The release represents the entire agreement between the franchisee and City Wide regarding its subject matter. This means that any previous discussions, promises, or agreements, whether oral or written, are replaced by the terms of the release.
This clause is intended to provide clarity and prevent disputes based on prior understandings that are not explicitly included in the release. It ensures that the relationship between the franchisee and City Wide is governed solely by the terms outlined in the release document. The release can only be amended through a written agreement signed by all parties involved, reinforcing the importance of the written terms.
Prospective franchisees should carefully review the release and ensure they understand all its terms before signing. It is crucial to seek legal counsel to fully comprehend the implications of this clause and how it affects their rights and obligations. Franchisees should also verify that all essential agreements and understandings are included in the written release to avoid future discrepancies or misunderstandings, as City Wide will not be held accountable for any prior agreements that are not documented within the release.
