| RECITALS |
| A. |

| Agreement"),[as amended] |
| pursuant |

| which |
| Franchisee |
| is |
| granted |
| the |
| right |
| to |
| operate |
| a |
| City |
| Wide franchise in the Designated Territory, as defined in the Franchise Agreement ("Franchised Business"). |
| B. |
| Franchisee desires to enlist the Services (defined below) of City Wide's Business Development |
| Center for the purpose of |
| assisting in |

| prospecting and developing of local City |
| Wide clientele. Services will be |
| provided starting as of the date the Franchised Business opens for business ("Open Date" or as otherwise agreed |
| to by the Parties) hereinafter the "Effective Date". |

| City Wide desires to provide said Services to Franchisee and Franchisee wishes to engage City |
| Wide to provide said Services, subject to the terms and conditions of this Agreement. |
| In consideration of the foregoing premises and the mutual covenants and agreements contained herein, the Parties |

| AGREEMENT |

| Subject to the terms of this Agreement and based on the information provided to City |
| Wide by Franchisee, City Wide agrees to provide various business development services to Franchisee, pursuant to |
| the selected package and/or selected services on the attached Business Development Services Packages ("Exhibit |
| A") attached hereto and made a part hereof (collectively, "Services"). |

What This Means (2025 FDD)
According to City Wide's 2025 Franchise Disclosure Document, the Business Development Center (BDC) is designed to assist franchisees in prospecting and developing local City Wide clientele. The BDC assigns a Business Development Specialist to work with the franchisee. The franchisee provides information on their territory and goals, and the Specialist is trained for five days, if applicable. The BDC sets up access to the franchisee's CRM, emfluence, and City Wide Social accounts.
The Business Development Specialist then completes activities based on the selected service package to set appointments or generate leads with prospective clients. The prospect's information, along with the appointment details, is immediately provided to the franchisee. The franchisee or their staff attends the appointment with the prospect and provides updates back to the Business Development Specialist on whether the appointment resulted in a sold account. City Wide may change the Business Development Specialist assigned to the franchisee's account at any time, provided the services remain unchanged and uninterrupted. If the assigned Specialist is unavailable, another Specialist will cover the services, or the franchisee will not be billed for that time.
City Wide does not guarantee results or a certain number of appointments, followers, or sales. The success of the BDC services is enhanced through regular communication between the franchisee or their sales executive and the City Wide Business Development Center. New franchisees signing a new Franchise Agreement for a new Franchised Business will have a term of twelve months for this agreement, while existing franchisees have a term of six months, unless terminated sooner.
