Is a City Wide franchisee required to install, update, or replace equipment or software as designated by City Wide?

Franchisee agrees that CITY WIDE shall install, update or replace any equipment (hardware and/or peripherals) or Software (as defined in Section 11.10) as designated by CITY WIDE for use pursuant to the CITY WIDE System.
Franchisee will be responsible for the costs of all enterprise upgrades and replacements of all equipment required to operate the Software.
Once the Franchise Agreement is fully executed, City Wide will provide Franchisee with the number of Technology Systems that Franchisee will need to operate its Franchised Business based upon the number of employees Franchisee hires. The following conditions will apply to Franchisee's use of the Technology System:
- a. Software will be installed and configured by City Wide or its designated representatives on the hardware components of the Technology System. All maintenance, updates and repair of the Software shall be provided by City Wide. Franchisee will maintain an internet connection to each Technology System to facilitate updates, revisions support and access by City Wide to the Software and for data exchange between City Wide and Franchisee. Franchisee will also be responsible for ensuring a proper environment and proper utilities for the hardware components of the Technology Systems on which the Software will operate.
City Wide reserves the right to add, delete or modify any specific software programs comprising the Software which are necessary for the operation of the Technology Systems.
During the term of this Agreement, City Wide will provide IT Services to the Franchised Business (including employees) including laptop hardware, answering Franchisee's reasonable questions about access to and operation of the Technology System by e-mail, or in written and/or electronic documents.

What This Means (2025 FDD)
According to City Wide's 2025 Franchise Disclosure Document, franchisees are required to install, update, or replace equipment or software as designated by City Wide for use pursuant to the City Wide system. The franchisee is also responsible for the costs of all enterprise upgrades and replacements of all equipment required to operate the software.
Additionally, City Wide will provide the franchisee with the number of technology systems needed to operate the franchised business based upon the number of employees the franchisee hires. City Wide or its representatives will install and configure the software on the hardware components of the technology system, and City Wide will provide all maintenance, updates, and repairs of the software. The franchisee must maintain an internet connection to each technology system to facilitate updates, revisions, support, and access by City Wide to the software and for data exchange between City Wide and the franchisee. The franchisee is also responsible for ensuring a proper environment and proper utilities for the hardware components of the technology systems on which the software will operate.
City Wide also reserves the right to add, delete, or modify any specific software programs comprising the software which are necessary for the operation of the technology systems. City Wide is the systems administrator and retains control of any and all applications. During the term of the agreement, City Wide will provide IT services to the franchised business, including laptop hardware, and answer the franchisee's reasonable questions about access to and operation of the technology system by e-mail, or in written and/or electronic documents.
