Can the City Wide Franchisee disassemble the software provided as part of the Technology System?

According to City Wide's 2025 Franchise Disclosure Document, franchisees are explicitly prohibited from disassembling the software provided as part of the Technology System. The FDD states that the software is provided as a single compiled product and can only be used as integrated into the Technology System. This restriction is in place because City Wide considers the Technology Systems and any data generated by the software to be valuable property and trade secrets.

This means that a City Wide franchisee cannot attempt to reverse engineer, modify, or otherwise take apart the software to understand its inner workings or to use it in any way other than as intended by City Wide. This is a common practice in franchising, as franchisors want to protect their proprietary technology and prevent franchisees from developing competing systems or misusing the software.

The franchisee must agree to use the utmost care to safeguard the Technology Systems and any data generated by the use of the Software and to maintain the confidentiality thereof. City Wide retains the right to add, delete, or modify any specific software programs comprising the Software which are necessary for the operation of the Technology Systems. City Wide also retains the right to access the Technology System at all times, reinforcing their control over the software and its use within the franchise network.
