d such offer by offering cash in an amount equivalent to the market value of the unique assets tendered by the entity making such offer to Franchisee, the Affiliated Company or Owner. Further, CITY WIDE's creditworthiness will be deemed equal to the credit rating of any proposed transferee.
- 13.4.4 If CITY WIDE fails to exercise the Option to purchase the interest, CITY WIDE will, within thirty (30) days after the Option has expired, notify Franchisee in writing of its approval or disapproval of the prospective transferee.
- 13.4.5 If CITY WIDE approves the proposed transferee, Franchisee, the Affiliated Company, or the Owner may transfer the interest to the proposed transferee pursuant to a form of transfer or assignment approved in advance by CITY WIDE at a price and under terms and conditions which are not more favorable than the terms offered to CITY WIDE, but only after the proposed transferee has completed (to the satisfaction of CITY WIDE) the initial training then currently required of System franchisees and has paid CITY WIDE all fees associated with such training, as assessed by CITY WIDE at its sole and absolute right;
- 13.4.6 Prior to the consummation of any such Transfer, Franchisee will pay all amounts due to CITY WIDE and cure all other breaches of this Agreement and any other agreement with CITY WIDE, and Franchisee will execute and deliver to CITY WIDE a general and absolute release in a form satisfactory to CITY WIDE, of any and all claims against CITY WIDE or its affiliates, officers, directors, employees, agents, and representatives;
- 13.4.7 Franchisee will comply with all other applicable transfer requirements as designated in the Operating Manual or otherwise by CITY WIDE in writing.
- 13.4.8 Franchisee will be required to pay to CITY WIDE the Transfer Fee as set forth below in Section 13.5.

What This Means (2025 FDD)
According to City Wide's 2025 Franchise Disclosure Document, if a franchisee, an affiliated company, or an owner wishes to transfer their interest, they must use a transfer or assignment form that has been pre-approved by City Wide. The transfer can only occur if the terms and conditions are not more favorable than those offered to City Wide itself.
Before the transfer can be finalized, the proposed transferee must complete City Wide's initial training program to the company's satisfaction and pay all associated fees. Additionally, the franchisee must settle all outstanding payments to City Wide, resolve any breaches of their agreements, and provide a general release of claims against City Wide in a form that is satisfactory to them.
Prior to any transfer, City Wide may require the franchisee and the prospective transferee to jointly request an inspection of the location and the franchisee's records. City Wide may then create a list of necessary repairs, maintenance, or upgrades that must be completed before the transfer is approved. The franchisee may also be required to pay any additional fees discovered during the inspection. The franchisee must also comply with any other transfer requirements specified in the operating manual or communicated in writing by City Wide.
