What determines the number of Technology Systems City Wide provides to the Franchisee?

Once the Franchise Agreement is fully executed, City Wide will provide Franchisee with the number of Technology Systems that Franchisee will need to operate its Franchised Business based upon the number of employees Franchisee hires. The following conditions will apply to Franchisee's use of the Technology System:
- a. Software will be installed and configured by City Wide or its designated representatives on the hardware components of the Technology System. All maintenance, updates and repair of the Software shall be provided by City Wide. Franchisee will maintain an internet connection to each Technology System to facilitate updates, revisions support and access by City Wide to the Software and for data exchange between City Wide and Franchisee. Franchisee will also be responsible for ensuring a proper environment and proper utilities for the hardware components of the Technology Systems on which the Software will operate.
- b. The Technology Systems will be used only in the operations of the Franchised Business and will not be used to perform information processing for any other person, entity, or business.
- c. Franchisee acknowledges and agrees that the Technology Systems and any data generated by the use of the Software is the valuable property and trade secret of City Wide, and that City Wide has an interest therein, and Franchisee agrees to use the utmost care to safeguard the Technology Systems and any data generated by the use of the Software and to maintain the confidentiality thereof.

What This Means (2025 FDD)
According to the 2025 City Wide Franchise Disclosure Document, the number of Technology Systems provided to a franchisee is based on the number of employees the franchisee hires. Once the Franchise Agreement is executed, City Wide will provide the necessary number of Technology Systems to operate the franchised business, contingent upon the franchisee's staffing levels.
City Wide installs and configures the software on the hardware components of the Technology System and handles all maintenance, updates, and repairs. The franchisee must maintain an internet connection for each Technology System to facilitate updates, support, and data exchange with City Wide. Additionally, the franchisee is responsible for ensuring a proper environment and utilities for the hardware components. The Technology Systems are exclusively for the franchised business operations and cannot be used for any other entity or business.
The Technology Systems and any data generated are considered valuable property and trade secrets of City Wide. Franchisees must safeguard the Technology Systems and maintain the confidentiality of the data. City Wide retains the right to access the Technology System at all times and can add, delete, or modify software programs necessary for the operation of the systems. City Wide also acts as the Systems Administrator and retains control of all applications.
