What This Means (2025 FDD)
According to City Wide's 2025 Franchise Disclosure Document, the Technology Systems and any data generated by the use of the software are considered valuable property and trade secrets of City Wide. As stated in the IT Services Agreement, the Technology System includes computer software installed on hardware, such as a laptop, for use in the operation and management of the Franchised Business. These systems may include components licensed to City Wide or to the franchisee directly by third parties.
This designation as valuable property and trade secret means that a franchisee must exercise a high degree of care in safeguarding the Technology Systems and maintaining their confidentiality. This obligation extends to all data generated through the use of the software. Franchisees are entrusted with protecting these assets, acknowledging City Wide's vested interest in them.
For a prospective City Wide franchisee, this underscores the importance of data security and protection of proprietary information. Franchisees must implement measures to prevent unauthorized access, use, or disclosure of the Technology Systems and the data they generate. Failure to adequately protect these assets could have legal and financial repercussions, as it would represent a breach of the franchise agreement. Franchisees should ensure they fully understand their obligations regarding data protection and confidentiality as outlined in the franchise agreement and related documents.
