Answer from 2025 FDD Document

To ensure compliance with this Agreement and to provide consultation with Franchisee, Franchisee agrees that CITY WIDE and any named Representative will be permitted, with or without notice, full and complete access during regular business hours to inspect the Franchised Business and all Business Records including, but not limited to, records relating to Franchisee's suppliers, employees, and agents.

Franchisee will cooperate fully with CITY WIDE and any Representative.

What This Means (2025 FDD)

Based on the 2025 City Wide Franchise Disclosure Document, there are no explicit prohibitions detailed regarding actions a City Wide Representative is restricted from taking concerning the franchise agreement. However, the document outlines several rights and responsibilities of both the franchisee and City Wide, implying certain limitations on what a representative can do.

For instance, City Wide retains the right to inspect the franchised business and its records to ensure compliance with the agreement. While this grants access, it also stipulates that inspections must be conducted in a manner that doesn't unduly disrupt the business. This suggests a limitation on the representative's actions during such inspections.

Additionally, in the event of a franchisee's default, City Wide has the option to enter and operate the business, with a representative potentially taking over control. However, this action is contingent on the franchisee's failure to cure the default after receiving notice, implying the representative cannot arbitrarily interfere without proper cause and procedure. The franchisee is also entitled to indemnification from City Wide and its representatives for claims arising from the acts and omissions of City Wide and its representatives.

While the FDD does not list explicit prohibitions, the framework of rights, responsibilities, and operational procedures outlined in the franchise agreement serves to implicitly limit the actions of a City Wide representative. A prospective franchisee should seek clarification from City Wide regarding specific scenarios and potential limitations on the representative's authority to fully understand the scope of these implied restrictions.
