What This Means (2025 FDD)
According to City Publications's 2025 Franchise Disclosure Document, franchisees are granted the right to operate their franchised business under the trademark "CITY PUBLICATIONS" in exchange for royalty payments. Franchisees may also use any other trademarks, service marks, trade names and logos that City Publications designates in writing. These marks are used to identify the franchisee's business. City Publications registered its service mark "City Publications", with the logo, on February 8, 2005, with the United States Patent Office under registration number 2,924,821.
City Publications is obligated to protect the franchisee's right to use their marks and will defend against infringement claims from third parties, provided the franchisee uses the marks properly. Franchisees must notify City Publications of any similar trademark uses by third parties, and City Publications will take action as they deem appropriate. City Publications controls any administrative or legal proceedings involving the trademarks. Franchisees are required to participate in these proceedings at City Publications's direction, and City Publications will indemnify them from claims resulting from their proper use of the marks.
City Publications retains the right to modify their marks, and franchisees must comply with any required changes. This is a fairly standard clause in franchise agreements, as franchisors need to maintain control over their brand and adapt to market changes. It is important for franchisees to stay updated on any changes to the marks and ensure they are using them correctly to avoid potential legal issues.
