What This Means (2025 FDD)
According to City Publications's 2025 Franchise Disclosure Document, a franchisee is obligated to participate in administrative action or litigation regarding trademarks at the direction of City Publications. This obligation arises when City Publications deems action appropriate regarding trademark uses by third parties similar to theirs.
City Publications retains control over any administrative proceeding or litigation involving its trademarks. The FDD states that City Publications is obligated to protect the franchisee's right to use their marks and will protect against infringement claims from third parties, provided the franchisee uses the marks properly. In turn, franchisees must notify City Publications of any similar trademark uses by third parties.
City Publications also commits to indemnify franchisees from claims resulting from their proper use of City Publications's marks. Furthermore, City Publications retains the right to modify its marks, and franchisees must comply with any required changes. This clause ensures City Publications can adapt its branding as needed, but it also places a responsibility on franchisees to stay current with any modifications.
