What This Means (2025 FDD)
According to City Publications' 2025 Franchise Disclosure Document, the franchise agreement grants the franchisee the right and license to operate a City Publications business under the System and Marks. However, this right is subject to the terms and conditions outlined in the agreement.
The franchisee's rights to use the Marks are not absolute. City Publications retains significant control and discretion over the Marks and the System. This includes the right to modify or discontinue the use of any Marks, and the franchisee is obligated to comply with City Publications' directions in such cases. The franchisee is not entitled to reimbursement for expenses or loss of goodwill resulting from these changes.
City Publications explicitly retains sole ownership and control over internet-related assets, including domain names and websites using the Marks. The franchisee cannot establish a website using the Marks without prior written consent, and City Publications retains the right to market on the internet using the Marks. Upon termination or expiration of the franchise agreement, the franchisee must discontinue using the Marks and transfer any related telephone numbers and listings to City Publications. These stipulations ensure that City Publications maintains ultimate control over its brand identity and online presence.
