What This Means (2025 FDD)
According to the 2025 City Publications Franchise Disclosure Document, the definition of "Confidential Information" can be found within Item 23, which is the Receipt. This section defines confidential information as any trade secret or competitively sensitive information not generally known to the public. This includes, but is not limited to, information relating to the City Publications system, know-how, methods, techniques, formats, specifications, procedures, systems, policies and standards, business operating systems, record keeping and reporting methods, accounting systems, sales and marketing methods, training techniques, specifications, processes and procedures for card pack design, production, and distribution. It also covers specifications for business forms and stationery, the manual, ideas, research and development, lists of franchisees, advertisers, and suppliers, mailing data, market and territory analyses, population demographic studies, suggested pricing and cost information, and software developed by City Publications. Any other information identified by City Publications as confidential also falls under this definition.
For a prospective City Publications franchisee, understanding this definition is crucial because it outlines the scope of information they must protect and keep secret. This obligation extends to various aspects of the business, from operational methods to customer lists and pricing strategies. Failure to maintain the confidentiality of this information could have legal and financial repercussions, as it is a critical component of the franchise agreement.
Furthermore, Section 8 of the City Publications FDD also addresses confidential information, specifically focusing on the requirement of confidentiality. This underscores the importance City Publications places on protecting its proprietary information and trade secrets. Franchisees should carefully review both Item 23 and Section 8 to fully understand their obligations and the measures they must take to safeguard confidential information.
