What This Means (2025 FDD)

Based on the 2025 City Publications Franchise Disclosure Document, it is not explicitly stated whether all items within the document are negotiable. However, there are addenda included for specific states like Wisconsin and Washington that address how certain state laws may supersede the franchise agreement, implying that some terms can be subject to change based on jurisdictional requirements.

For example, the Wisconsin addendum indicates that the Wisconsin Fair Dealership Law will supersede any conflicting terms of the Franchise Agreement. Similarly, the Washington addendum states that the Washington Franchise Investment Protection Act may supersede the franchise agreement, particularly in areas of termination and renewal. These addenda suggest that certain aspects of the franchise agreement are not fixed and can be modified to comply with state-specific regulations.

Additionally, the Franchisee Disclosure Questionnaire included as an exhibit asks prospective franchisees if they understand all the information contained in the Franchise Agreement and the Disclosure Document. If they answer "No," they are prompted to specify which parts they do not understand. This questionnaire, while not directly addressing negotiability, highlights the importance of understanding the terms and seeking clarification, which could indirectly lead to negotiations on certain points.

To fully understand the extent to which the terms and conditions in the City Publications Franchise Disclosure Document are negotiable, a prospective franchisee should directly inquire with City Publications about their willingness to negotiate specific items. It would also be prudent to consult with a franchise attorney to assess which terms are typically negotiable and to understand the legal implications of any proposed changes.
