What This Means (2025 FDD)

According to City Publications's 2025 Franchise Disclosure Document, a franchisee's right to use the City Publications trademark is directly tied to the royalty payments made throughout the term of the Franchise Agreement. In exchange for these royalty payments, City Publications grants the franchisee the right to operate their franchised business under the "CITY PUBLICATIONS" trademark, as well as any other trademarks, service marks, trade names and logos that City Publications designates in writing. This includes the logo displayed on the front of the Franchise Disclosure Document. The trademark "CITY PUBLICATIONS" with its logo is registered on the Principal Register of the United States Patent Office under registration number 2,924,821 with a registration date of February 8, 2005.

City Publications is obligated to protect the franchisee's right to use their marks and will defend against infringement claims from third parties, provided the franchisee uses the marks properly. The franchisee, in turn, must notify City Publications of any similar trademark uses by third parties. City Publications controls any administrative or legal proceedings related to the trademarks, and the franchisee is required to participate in these actions if directed by City Publications. City Publications will also indemnify the franchisee from claims resulting from the proper use of the marks.

City Publications retains the right to modify its trademarks, and franchisees must comply with any required changes. This condition is fairly standard in franchising, as franchisors need the flexibility to update their branding and protect their trademarks. The franchisee's right to use the trademarks is contingent upon adhering to the franchise agreement and remitting the required royalty payments. Failure to pay royalties could result in the termination of the franchise agreement and the loss of the right to operate under the City Publications brand.
