What This Means (2025 FDD)

According to City Publications's 2025 Franchise Disclosure Document, the term 'Mark' refers to the trade names, trademarks, service marks, and logos used to identify a franchisee's City Publications business. City Publications grants franchisees the right to operate under the trademark "CITY PUBLICATIONS" and any other marks that City Publications designates in writing. This right is granted in exchange for the royalties paid by the franchisee throughout the term of the Franchise Agreement. The primary registered service mark is "City Publications" with its logo, registered on the Principal Register of the United States Patent Office. The registration number for the CITY PUBLICATIONS mark is 2,924,821, with a registration date of February 8, 2005.

City Publications is obligated to protect the franchisee's right to use their Marks and will defend against infringement claims from third parties, provided the franchisee uses the marks properly. Franchisees are required to notify City Publications of any similar trademark uses by third parties, and City Publications will take action as deemed appropriate. City Publications controls any administrative proceedings or litigation involving the trademarks, and franchisees are required to participate as directed. City Publications will indemnify franchisees from claims resulting from their proper use of the Marks.

However, City Publications retains the right to modify its Marks, and franchisees must comply with any required changes. This means that while franchisees have the right to use the City Publications trademarks, they must also adhere to any updates or modifications made by the franchisor. This is a fairly standard practice in franchising, as franchisors need to maintain brand consistency and adapt to market changes. Prospective franchisees should be aware of this condition and understand that they may need to update their signage, marketing materials, and other branded items to reflect any changes to the City Publications Marks.
