What This Means (2025 FDD)

According to City Publications' 2025 Franchise Disclosure Document, the definition of "Confidential Information" explicitly includes market and territory analyses. This means that any information related to these analyses, whether written or tangible, and regardless of the media it's stored on, is considered confidential. This encompasses know-how, methods, techniques, formats, specifications, procedures, systems, policies, standards, and other business operating information related to City Publications.

For a prospective City Publications franchisee, this has significant implications. It means that the franchisee is obligated to protect the confidentiality of these analyses and cannot disclose them to unauthorized parties. This obligation extends to various forms of information, including mailing data, mailing lists, population demographic studies, and suggested pricing and cost information. The franchisee must treat this information as proprietary and take reasonable steps to prevent its unauthorized disclosure or use.

Furthermore, the definition of "Confidential Information" also covers any other information or material identified to the franchisee by City Publications as confidential. This broadens the scope of confidential information beyond the specifically listed items. Franchisees should be aware of their responsibilities to safeguard this information, as unauthorized disclosure or use could potentially lead to legal repercussions or damage to the City Publications franchise system.
